Salary: USD 205,000 - 250,000 / annual
BETA Technologies is revolutionizing electric aviation through aircraft and charger manufacturing, plus charge network development. The company is building a multi-faceted legal team to support growing operations in aerospace, technology, and manufacturing.
In this role, you will serve as a key member of the legal team, advising on federal securities laws and SEC reporting requirements for a public company. Your responsibilities include:
• Advising on SEC reporting requirements, including Forms 10-K, 10-Q, 8-K, S-1, S-3, and S-8 filings
• Partnering with Finance, Investor Relations, and Communications teams to ensure accurate and timely public company disclosures
• Supporting the Compensation and Audit Committees of the Board, including meeting preparation, materials, resolutions, and regulatory guidance
• Managing equity administration matters, including 10b5-1 trading plans, equity grants, vesting, exercises, tax and reporting requirements
• Advising on insider trading, Section 16 compliance, beneficial ownership reporting, and securities law requirements for directors and executives
• Collaborating with Internal Audit on compliance, controls, and public company readiness
• Supporting board and executive onboarding and training on securities and corporate governance obligations
• Maintaining corporate governance policies, including Code of Conduct, Insider Trading Policy, and committee charters
• Assisting with board and committee resolutions, consents, minutes, and governance matters
• Supporting annual meetings, proxy statements, shareholder processes, and corporate governance activities
• Providing legal support for M&A transactions and related commercial agreements
You will work across the company to guide business initiatives, navigate legal and regulatory requirements, and help protect BETA against risk in a fast-paced, high-growth environment.
REQUIREMENTS:
• Bachelor's Degree
• JD and license to practice before a state bar
• 6+ years of legal experience, with a significant portion in-house
• Strong understanding of federal securities laws, SEC rules, regulations, and public company reporting requirements
• Experience advising public company boards or board committees, including Compensation and Audit Committee matters
• Experience with equity administration and executive/director equity matters, including 10b5-1 plans and Section 16 reporting
• Ability to communicate effectively with SEC staff and negotiate with regulators
• Prior experience in aerospace, complex manufacturing, or an industry core to BETA's business
• Strong preference for Vermont-based; willing to consider candidates with ability to have frequent and regular on-site presence at Burlington, Vermont headquarters
• Ability to manage multiple priorities in a fast-paced environment and lead legal and cross-functional projects with strong judgment and project management skills
PREFERRED QUALIFICATIONS:
• Experience in a high-growth, newly public company
• Experience supporting a company through the transition from private to public operations
• In-house M&A experience or experience supporting corporate development on acquisitions and strategic transactions
• Experience partnering across People, Compensation & Benefits, Finance, and Internal Audit on equity, compliance, and governance matters
• Experience with proxy statements, annual meetings, shareholder matters, and public company governance
