Salary: USD 200,000 - 250,000 / annual
xAI is seeking an Enterprise Commercial Counsel to lead commercial contracting efforts and drive high-value enterprise agreements. You will negotiate complex technology agreements for AI products and services, strategic partnerships, hyperscaler deals, vendor agreements, and other commercial arrangements. Working closely with Sales, Business Development, Finance, and Product teams, you'll develop commercial legal strategies, design legal structures that enable efficient product sales while mitigating risks, and contribute across the legal department as needed.
The role is based in one of four locations (Palo Alto, Los Angeles, Austin, or New York) with a commitment to 5 days/week in-office work. You'll serve as a legal ambassador for xAI's AI products, using them daily to accelerate learning and optimize productivity. This is a hands-on position in a flat organizational structure where all employees contribute directly to the company's mission of creating AI systems that accurately understand the universe and aid humanity's pursuit of knowledge.
Key responsibilities include expertly drafting, reviewing, and negotiating complex technology agreements; collaborating with technical, product, sales, finance, and legal teams to establish aligned commercial legal strategies; designing legal operations that streamline product sales while appropriately mitigating risks; and providing flexible support across the legal department for unfamiliar challenges.
REQUIREMENTS:
- 8+ years of legal experience, ideally combining top-tier law firm and in-house technology company experience
- Extensive transaction negotiation experience; intellectual property and technology transactions experience strongly preferred
- Ability to balance risks and tackle legal issues with a practical, commercial-driven approach
- Creative problem-solving mindset with sound judgment in complex, ambiguous situations
- Genuine curiosity and passion for AI applications; love of being continually challenged
- Strong sense of ownership and execution orientation
- Tenacity, adaptability, and stamina for fast-paced environments
- JD and license to practice law in California or New York, or otherwise eligible to register as in-house counsel
- U.S. citizenship, lawful permanent residency, refugee, or asylee status (ITAR requirement)
- Commitment to 5 days/week in-office presence
