Crusoe is a vertically integrated AI infrastructure company that owns and operates the full stack—from energy generation to AI compute—to power the world's most ambitious AI workloads. The company is solving the power bottleneck in AI compute through an energy-first approach.
You will join Crusoe's Legal team as Director, Legal Counsel, Corporate & Securities, reporting to the VP & Assistant General Counsel, Securities. This is a foundational role building the corporate legal function to support the company's rapid growth and increasing complexity.
Your primary responsibilities span three areas:
**Corporate Governance & Board Support:** Lead preparation of Board materials (agendas, presentations, minutes, resolutions). Manage stockholder consents, notices, and vote threshold analysis. Support annual stockholder meetings including proxy logistics and coordination. Advise on governing documents (charter, bylaws, voting agreements, investor rights agreements). Build and scale corporate policies, controls, and processes. Maintain organized deal files and corporate records; develop templates, checklists, and playbooks.
**Securities Compliance & Regulatory Reporting:** Lead development and review of securities disclosures and investor reporting materials. Develop disclosure controls, information governance, and communications protocols. Advise on insider trading policies, equity transaction reporting, and compliance processes for directors and officers. Monitor regulatory developments and ensure securities law compliance.
**Capital Markets & Financings (Cross-Coverage):** Provide backup support on equity and debt offerings from diligence through closing. Assist with disclosure schedules, ancillary documents, and KYC requests. Coordinate document flow with investors and banks. Support transaction execution and post-closing compliance.
You will also serve as a key legal advisor to Finance, Accounting, Investor Relations, and HR, translating complex legal requirements into practical business guidance.
The role works closely with the Director, Legal Counsel, Capital Markets, with both positions designed to provide seamless cross-coverage across the full corporate and securities mandate.
**Requirements:**
- Juris Doctor (JD) from an accredited law school and active membership in good standing in at least one U.S. state bar
- Minimum 4–7 years of corporate and securities experience at a top-tier law firm, with primary concentration in corporate governance, securities compliance, and regulatory reporting
- Deep subject matter expertise in board and stockholder governance, securities disclosure obligations, and insider trading compliance
- Working knowledge of capital markets transactions, including Rule 144A and private placements, sufficient to provide cross-coverage
- Proven track record advising companies on complex corporate and transactional matters
- Exceptional attention to detail with strong analytical and problem-solving skills
- Excellent business judgment and strong communication skills; ability to advise and influence stakeholders at all levels
- Demonstrated ability to handle sensitive and confidential information with professionalism
- Proactive, team-oriented mindset with ability to manage multiple projects in a fast-paced environment
- Proficiency with Google Workspace, Microsoft Office, and AI tools (Claude, Gemini)
- In-house experience at a technology or high-growth company is a plus
