As Commercial Counsel, you will be a key member of a small legal team providing strategic legal guidance on a broad range of contract-related matters. You will draft, review, and negotiate complex commercial agreements including revenue-generating contracts with health plans (Medicaid managed care, health systems, community-based organizations), vendor agreements, partnership agreements, Business Associate Agreements (BAAs), and confidentiality agreements. You will help structure complex multi-component deals and act as a business-minded thought partner to sales, client development, marketing, operations, and other teams, contributing to both legal and business aspects of negotiations.
Key responsibilities include increasing the velocity of the sales contracting process while managing legal and business risks; building processes and driving adoption of tools and technology (including AI) to improve contracting efficiency; reviewing and updating contract templates and user terms in light of legal developments; providing counsel on contractual obligations, risk mitigation, and dispute resolution; ensuring compliance with applicable laws; collaborating with finance, security, and operations teams on vendor contract management; developing contract templates, playbooks, and best practices; managing relevant processes and tools (Jira, contract management systems, Salesforce); supporting corporate transactions; and training internal stakeholders on contract-related legal risks. As a member of a small legal team, there will be opportunities to flex into other areas such as intellectual property, privacy advice, employment matters, and to grow into a more generalist role.
You are a highly motivated self-starter who identifies opportunities to add value and drive workstreams to completion. You are flexible, detail-oriented without losing sight of the bigger picture, a business-minded problem solver with strong risk/benefit judgment and bias for action, an effective communicator who works collaboratively with cross-functional teams, and able to manage multiple priorities in a fast-paced environment.
