Scan.com is building America's national imaging network, connecting patients, providers, and payers to faster, better-value diagnostic imaging. The company has raised over $200M in funding, reached profitability, and is growing 100% year-over-year. We're seeking a Mid-Level Contracts Attorney to join our Legal team as a core member reporting to our Senior Attorney.
In this role, you'll be the primary legal support for our Supply team and own our NDA process end-to-end. You'll work across the full contract lifecycle—from first draft and redline through negotiation, execution, and building the systems and templates that enable a lean legal team to scale.
Key responsibilities include:
- Serve as legal point of contact for the Supply team on imaging center agreements, diagnostic services agreements, vendor and services agreements, and related amendments, assignments, and renewals
- Draft and redline agreements on Scan.com's paper; review counterparty drafts against standard positions and flag deviations
- Negotiate counterparty redlines on liability caps, indemnities, data and privacy terms, termination and renewal mechanics, and payment terms, escalating material issues with clear analysis
- Prepare and negotiate business associate agreements and data processing agreements across multiple affiliated professional corporations
- Own the NDA process from intake through execution, identifying hidden issues like non-solicits, residuals clauses, or overbroad definitions
- Administer our contract lifecycle management platform (LawVu), designing intake forms, workflows, approval routing, and automations
- Build and maintain template library and negotiation playbooks with merge fields and conditional logic
- Train business users on contracting systems and policies, including signature authority and execution processes
- Support healthcare regulatory compliance initiatives (HIPAA, state privacy laws, anti-kickback statutes, Stark, corporate practice of medicine, fee-splitting) and translate requirements into contract terms and workflows
- Track open issues, negotiation history, key dates, and NDA metrics to reduce business dependence on Legal for routine requests
This is a hands-on role for someone with a solid base in commercial contracting, eager to deepen healthcare transactional experience, and interested in making processes better. As a scale-up, the role will develop over time.
Culture: We're building something that matters. Every scan we speed up is a real person waiting on an answer. We move fast, own outcomes, and take pride in our output. If you like ambiguity, working with ambitious people, and want your work to visibly move the needle, you'll feel at home here.
AI Requirements: AI is how we work at Scan.com. You're expected to be AI-Amplified—using AI as part of your daily workflow for drafting, analysis, and research. You'll show concrete examples where AI made your work meaningfully faster or better, and you understand its failure modes (checking output, not pasting sensitive data into public tools).
REQUIREMENTS:
- J.D. from an accredited law school and active bar membership in good standing in any U.S. state
- Solid commercial contracting experience (law firm, in-house, or legal operations role) with confidence to run your own matters and track record of working with limited oversight
- Strong drafting and redlining skills, including comfort with Word and Google Docs tracked changes; clean, purposeful redlines free of internal annotations when sent to counterparties
- Sound commercial judgment: knowing which points are worth fighting for and which to trade
- Clear, direct writing and ability to explain legal risk to non-lawyers in practical terms
- Excellent organization and ability to manage many matters simultaneously and follow through without being chased
- Strong Plus: Healthcare legal experience (HIPAA, BAAs, AKS/Stark, corporate practice of medicine, or work with provider organizations, health systems, payors, or health tech)
- Strong Plus: Hands-on experience administering a CLM or legal workflow tool (LawVu, Ironclad), building template automation, or using e-signature platforms (DocuSign)
- Builder's mindset: comfortable in fast-paced environment and excited to help create process as we scale
