Scan.com is building America's national imaging network, connecting patients, providers, and payers to faster, better-value diagnostic imaging. The company manages the medical imaging pathway end-to-end, has raised over $200M in funding, achieved profitability, and is growing 100% year-on-year. You will be a core member of the Legal team, reporting to the Senior Attorney and serving as the primary legal support for the Supply team. This is a hands-on role focused on commercial contracting with growing healthcare transactional experience. Key responsibilities include: - Act as legal point of contact for Supply team on imaging center agreements, diagnostic services agreements, vendor agreements, and related amendments, assignments, and renewals - Draft and redline agreements on Scan.com's paper; review counterparty drafts against standard positions - Negotiate counterparty redlines on liability caps, indemnities, data/privacy terms, termination/renewal mechanics, and payment terms - Prepare and negotiate business associate agreements (BAAs) and data processing agreements across multiple affiliated professional corporations - Own the NDA process end-to-end, identifying standard vs. problematic terms (non-solicits, residuals, overbroad definitions) - Administer the contract lifecycle management platform (LawVu): design intake forms, workflows, approval routing, automations for review, signature, and post-signature obligations - Build and maintain template library and negotiation playbooks with merge fields and conditional logic - Train business users on contracting systems and policies, including signature authority - Support healthcare regulatory compliance (HIPAA, state privacy laws, anti-kickback statutes, Stark, corporate practice of medicine, fee-splitting) and translate requirements into contract terms and workflows - Track open issues, negotiation history, key dates, NDA volume/turnaround; identify ways to reduce Legal's involvement in routine requests The role is expected to develop over time as the company scales. You'll work in a fast-paced environment with ambiguity, alongside ambitious people, with visible impact on business outcomes. AI Fluency: You are expected to be AI-Amplified. AI should be part of your daily workflow for drafting, analysis, and research. You must demonstrate concrete examples where AI made your work meaningfully faster or better, understand its failure modes, check its output, and avoid pasting sensitive data into public tools. REQUIREMENTS: - J.D. from an accredited law school and active bar membership in good standing in any U.S. state - Solid commercial contracting experience (law firm, in-house, or legal operations role) with confidence to run own matters and track record of working with limited oversight - Strong drafting and redlining skills: comfort with Word and Google Docs tracked changes/comments; clean, purposeful redlines free of internal annotations for counterparties - Sound commercial judgment: knowing which points to fight for and which to trade - Clear, direct writing; ability to explain legal risk to non-lawyers in practical terms - Excellent organization: manage many matters simultaneously and follow through without being chased - Healthcare legal experience (HIPAA, BAAs, AKS/Stark, corporate practice of medicine, work with providers/health systems/payors/health tech) — strong plus - Hands-on CLM/legal workflow tool experience (LawVu, Ironclad), template automation, or e-signature platforms (DocuSign) — strong plus - Builder's mindset: comfortable in fast-paced environment, excited to help create process as company scales
