Mysten Labs is building foundational blockchain infrastructure to accelerate decentralized protocols. The Associate General Counsel, Corporate will report to the General Counsel and serve as a strategic legal partner across the organization, taking ownership of a broad range of corporate legal matters.
You will lead and support strategic transactions including joint ventures, acquisitions, dispositions, restructurings, and complex corporate transactions. You'll advise the General Counsel and executive team on corporate governance, strategic initiatives, and corporate structuring. Working cross-functionally with finance, tax, accounting, and people teams, you'll structure and execute strategic corporate initiatives, advise on corporate finance and treasury matters including equity and debt financings, and partner with the People team on employment, executive compensation, equity and token compensation matters.
Additional responsibilities include supporting international operations and subsidiary governance, drafting and reviewing transaction documents and corporate agreements, identifying legal and business risks with practical solutions, managing outside counsel, developing corporate legal processes and templates, and staying informed on legal and industry developments relevant to web3. This is a hands-on role requiring someone comfortable with significant autonomy, novel problem-solving, and ownership from strategy through execution. The ideal candidate combines strong technical corporate training with practical business judgment and versatility to tackle matters across multiple legal disciplines.
QUALIFICATIONS:
- 8+ years of relevant legal experience, including significant time at a leading law firm and/or legal department of a high-growth technology company
- Strong foundation in corporate law with meaningful experience in corporate governance and complex corporate transactions
- Experience with M&A, joint ventures, strategic investments, corporate restructurings, financings, subsidiary governance, or other strategic corporate matters
- Demonstrated ability to independently lead complex matters, coordinate cross-functional stakeholders, and drive projects from identification through execution
- Ability to operate as a corporate generalist and quickly develop expertise in unfamiliar areas
- Excellent business judgment and ability to assess and weigh legal and business risk with imperfect information
- Strong executive communication skills; ability to distill complex issues into clear, actionable advice
- Highly collaborative, solutions-oriented approach; comfortable working across finance, tax, accounting, people, operations
- Self-starter with strong ownership and urgency; thrives in fast-moving, lean team environment
- Unquestioned integrity and sound judgment
- Interest in blockchain technology and willingness to develop strong understanding of Mysten Labs' business and web3 ecosystem (prior web3/crypto experience helpful but not required)
- J.D. from accredited law school and membership in at least one U.S. state bar; eligibility to practice as in-house counsel in California
