PDI Technologies is seeking an Associate General Counsel to serve as a senior legal advisor providing strategic counsel across corporate and commercial matters. You will partner with business leaders and cross-functional teams to navigate complex legal issues, structure and negotiate agreements, assess risk, and support strategic business initiatives. Key responsibilities include: - Provide strategic legal counsel to business leaders on complex corporate, commercial, and operational matters - Draft, review, and negotiate a broad range of agreements including technology, vendor, partnership, licensing, and services agreements - Advise on legal and commercial risks related to contractual terms, intellectual property, data privacy, information security, liability, indemnification, and warranties - Provide legal guidance on new business initiatives, products, partnerships, and strategic projects - Independently manage complex legal matters from initial assessment through resolution - Provide guidance on contract interpretation, disputes, business obligations, and risk mitigation - Contribute to development of contract templates, playbooks, policies, and legal processes - Identify emerging legal and regulatory risks and provide practical recommendations - Support corporate transactions and organizational initiatives - Manage relationships with outside counsel and external legal resources - Stay current on relevant laws, regulations, and industry developments PDI Technologies empowers convenience retail and petroleum brands with cutting-edge technology solutions, including the GasBuddy mobile application, driving growth and operational efficiency globally. Requirements: - Juris Doctor (JD) degree from accredited law school and active membership in good standing with at least one U.S. state bar - 6+ years of progressive legal experience, including law firm and/or corporate legal department experience - Experience supporting technology, software, SaaS, or similarly complex businesses preferred - Significant experience drafting, reviewing, and negotiating complex commercial agreements - Strong understanding of commercial contracting, intellectual property, privacy, security, and legal issues relevant to technology businesses - Demonstrated ability to independently manage complex legal matters and provide practical, risk-based legal advice - Strong business acumen with ability to understand business objectives and translate legal considerations into actionable guidance - Collaborative approach and ability to develop effective working relationships with senior leaders, sales, product, technology teams, and other stakeholders - Strong written and oral communication, negotiation, analytical, and interpersonal skills - Excellent judgment with ability to identify significant legal risks and appropriately escalate matters - Ability to manage multiple priorities and complex matters in fast-paced environment
