Ramp is building smart infrastructure for finance teams, automating how over $200B in annualized spend flows through 70,000+ companies. The company handles payment authorization, risk flagging, spend categorization, and financial close processes.
You will join Ramp's Legal team as Senior Corporate Paralegal, owning the operational backbone of corporate governance and entity management. Ramp operates a growing portfolio of U.S. and non-U.S. entities—including regulated and licensed subsidiaries—across a business that ships constantly and raises capital on short notice. You will be the person who keeps that machinery accurate, current, and audit-ready.
This is a broad generalist role sitting at the center of corporate governance, entity management, equity administration, and litigation/employment matters. You will partner directly with Finance, Accounting, Tax, Treasury, Compliance, Equity Admin, People, and outside counsel. As a small, high-leverage team supporting a fast-moving company, you'll cover significant ground and run matters independently.
Key responsibilities include:
- Corporate governance: Prepare board and stockholder meeting materials, agendas, minutes, written consents, resolutions, secretary's certificates, and incumbency certificates. Track governance obligations across the entity portfolio.
- Entity management: Own the full lifecycle of entity administration—formations, dissolutions, foreign qualifications, annual reports, franchise tax filings, registered agent management, officer and director lists, and post-integration cleanup.
- KYC/UBO and diligence: Respond to KYC/UBO and diligence requests from bank partners, regulators, auditors, insurers, and counterparties; build reusable packages.
- Equity support: Support equity administration, option and RSU grants, board approvals of equity awards, secondaries, and equity plan recordkeeping.
- Transaction support: Run diligence support, signature collection, closing checklists, closing binders, and post-closing obligations for financings, credit facilities, M&A, real estate, and insurance renewals.
- Commercial and cross-functional support: Assist with powers of attorney, delegations of authority, and corporate approvals.
- Employment support: Support employment and immigration-related requests and filings.
- Litigation support: Support subpoena and law enforcement requests, legal holds, e-discovery, document production, garnishment orders, and UCC liens. Serve as custodian of records and representative in small claims court.
Requirements:
- 6+ years of corporate paralegal experience at a major law firm and/or in-house at a high-growth technology or financial services company
- Deep working knowledge of corporate governance, entity formation and maintenance, corporate recordkeeping, and secretary's office functions
- Excellent drafting skills across resolutions, consents, certificates, and corporate documentation with genuine precision
- Demonstrated ability to independently run multiple time-sensitive workstreams
- Strong written and verbal communication skills and judgment to work with executives, board members, outside counsel, and cross-functional partners
- Comfort operating in a fast-paced environment where priorities shift and processes are still being built
- High judgment around confidential and sensitive corporate information
- Bachelor's degree or equivalent practical experience
Nice to have:
- Experience at a fintech, payments, or regulated financial services company, including support for licensed entities (money transmitter, EMI, or similar)
- Experience supporting venture financings, secondaries, M&A integration, or IPO readiness
- International entity management experience across EMEA, APAC, LATAM, or Canada
- Experience with equity administration and cap table platforms (e.g., Shareworks)
- Experience with litigation or employment matters
- Notary Public commission (NY or CA), or willingness to obtain one
- ABA-approved paralegal certificate
- Track record of using AI or automation to eliminate manual legal work
