You will lead Givebutter's in-house legal function as Associate General Counsel, reporting to the Chief Financial Officer.
In this hands-on role at a payments-enabled fundraising platform in a regulated space, you will own legal work across corporate governance, intellectual property, risk management, and employment law. You will manage one direct report (Commercial & Product Counsel) and build a lean legal team that enables the company to move fast while managing understood risks.
Key responsibilities include:
- Own all corporate and board governance activities: board minutes, resolutions, entity management, equity matters, annual filings, and regulatory reporting. Serve as primary legal advisor to executive leadership and the Board on governance best practices and fiduciary obligations.
- Manage and protect Givebutter's intellectual property portfolio, including trademarks, copyrights, and trade secrets. Lead IP strategy and enforce rights against infringement.
- Own the insurance program (D&O, cyber liability, E&O, general liability), manage renewals, conduct coverage reviews, coordinate claims, and advise on risk-transfer strategy.
- Lead Givebutter's internal AI governance framework in partnership with product, design, engineering, and people leadership. Develop policies for responsible AI use and monitor regulatory developments.
- Serve as primary legal advisor to the People team on employment law: hiring practices, compensation, benefits, employee relations, workplace investigations, performance management, separations, and policy development.
- Monitor and advise on legislative and regulatory developments affecting the business, including nonprofit law, charitable solicitation regulations, and state-level fundraising platform requirements (e.g., CA AB 488).
- Assess and mitigate enterprise legal risk across key business decisions, M&A activity, and strategic initiatives. Engage outside counsel selectively and manage engagements to scope and budget.
- Manage and develop the Commercial & Product Counsel. Lead development of scalable legal processes, policies, playbooks, and templates. Use AI-enabled tools to improve legal research, workflow efficiency, and knowledge management.
- Bring legal work in-house: take ownership of matters currently routed to outside firms, set clear thresholds for external counsel engagement, manage outside counsel spend, and build templates and playbooks.
The ideal candidate brings sound legal judgment to complex, ambiguous situations and finds practical ways to manage risk while helping the company grow. You communicate clearly with executives and the Board, turning complex legal issues into actionable guidance. You build trusted relationships across teams and work proactively to solve business challenges.

Requirements:
- J.D. from an accredited law school
- Active bar membership in good standing in your state of residence and/or California, New York, or Texas
- 8–12 years of legal experience with meaningful combination of top-tier law firm training and in-house experience at a technology or fintech company
- Demonstrated expertise in corporate governance, intellectual property management, and employment law
- Strong executive presence; proven ability to advise senior leadership and boards with clarity, confidence, and sound judgment
- Experience managing commercial insurance programs and advising on enterprise risk
- Demonstrated experience navigating complex, differing state-by-state regulations and translating them into practical business guidance and compliance processes
- Fluency with AI tools in a professional context; uses AI to improve productivity and has informed opinions about responsible deployment
- Excellent written and verbal communication; translates complex legal issues into plain language for non-legal stakeholders
- Ability to operate independently with high autonomy in a fast-paced, high-growth environment
