XBOW is building an AI-powered offensive security platform that autonomously discovers, validates, and exploits vulnerabilities to help organizations find and fix security weaknesses before attackers can. The company is seeking a Senior Legal Counsel to own commercial legal work across the organization. In this hands-on role, you will lead commercial negotiations and draft, review, and negotiate enterprise customer agreements, SaaS and software licenses, proof-of-concept agreements, partnership and reseller arrangements, procurement contracts, and data processing agreements. You'll work closely with Sales, Finance, Product, Engineering, and Security teams to structure deals, manage negotiations, and provide practical legal advice that supports revenue growth while managing risk. Key responsibilities include advising on AI-related commercial issues such as data use, model training restrictions, intellectual property ownership, confidentiality, warranties, and liability. You'll support product development and launches by helping teams assess legal considerations for new capabilities and translating them into appropriate customer terms. You'll also address the specifics of offensive security by helping define contractual testing permissions, scope, acceptable use, and handling of vulnerability findings. You will build scalable processes by developing templates, negotiation playbooks, approval workflows, and guidance that improve contract turnaround and consistency. You'll make legal advice accessible by delivering practical training to colleagues and helping them understand when they can move independently versus when to involve Legal. Additionally, you'll support broader legal priorities by identifying emerging issues, coordinating specialist external advice, and contributing to projects as the business evolves. The role is fully remote with regular in-person collaboration opportunities. REQUIREMENTS: Essential: - 7+ years of commercial legal experience with substantial responsibility for drafting and negotiating complex technology agreements - Prior in-house legal experience at a technology company, supporting commercial teams and working directly with product and technical stakeholders - Experience working within a startup, with understanding of how to prioritize, operate with limited resources, and build processes as the company grows - Direct legal experience advising on AI products or services, including related commercial terms, data rights, intellectual property, and risk allocation - Qualified lawyer admitted to practice in a relevant jurisdiction - Strong track record of independently leading enterprise commercial negotiations from initial review through signature - Sound commercial judgment with ability to explain trade-offs clearly and recommend a way forward - Working knowledge of privacy, data protection, and information security issues relevant to technology contracts - Clear communication, strong ownership, and ability to manage competing priorities in a fast-moving environment - Curiosity about the technology you support and willingness to work through unfamiliar questions Advantageous: - Experience in cybersecurity, offensive security, or developer tools - Experience negotiating international enterprise transactions - Experience building a commercial legal function or improving contract management systems - Experience using AI tools thoughtfully to improve legal workflows
