Coinbase is seeking a Senior Counsel for its Business Legal team to negotiate and structure the commercial agreements that power the company's most strategic partnerships. In this role, you will own the legal strategy for high-priority commercial deals, build scalable playbooks that accelerate deal timelines, and serve as a trusted advisor to business leaders navigating novel deal structures in the rapidly evolving crypto and fintech regulatory landscape. You will negotiate and structure highly-tailored commercial agreements with strategic partners and sophisticated counterparties in the fintech and technology space, including first-of-their-kind deal structures. You'll drive novel agreement frameworks for product partnerships and provide practical, risk-balanced legal guidance that enables business flexibility while protecting Coinbase's interests. Working cross-functionally with Business Development, Sales, Product, Engineering, Finance/Tax, and Compliance, you'll solve problems, build partnerships, and close complex deals on accelerated timelines. A key part of the role involves building commercial playbooks, templates, and scaled strategies that reduce deal cycle times and enable the business to move faster on recurring transaction types. You'll advise business leaders on transactional and product roadmap implications, proactively identifying legal risks and structuring solutions that align with Coinbase's commercial objectives. Coinbase is a remote-first company with quarterly in-person working sessions called "surges." The environment is intense and high-performing, focused on increasing economic freedom through cryptocurrency and blockchain technology. REQUIREMENTS: - J.D. (or applicable equivalent) with 7+ years of relevant transactional experience in-house or at a leading law firm - Active licensure in a U.S. state - Demonstrated experience negotiating and structuring complex fintech commercial agreements, with a track record of closing high-stakes deals with sophisticated counterparties - Proven ability to independently own deal execution end-to-end, from term sheet through closing, across multiple concurrent transactions with cross-functional stakeholders - Track record of building scalable legal processes (playbooks, templates, deal frameworks) that accelerate deal velocity and reduce legal bottlenecks - Ability to utilize generative AI responsibly, maintaining human oversight to deliver business-ready outputs and drive measurable improvements in workflow efficiency, cost, and quality
