PDI Technologies is seeking a Senior Counsel to provide strategic legal guidance to business leaders and cross-functional teams on complex corporate, commercial, and operational matters. The role focuses on drafting, reviewing, and negotiating a broad range of agreements including technology, vendor, partnership, licensing, and services contracts. You will advise on legal and commercial risks related to contractual terms, intellectual property, data privacy, information security, liability, indemnification, and warranties.
Key responsibilities include providing legal guidance on new business initiatives, products, partnerships, and strategic projects; independently managing complex legal matters from initial assessment through resolution; developing contract templates, playbooks, policies, and legal processes; identifying emerging legal and regulatory risks; supporting corporate transactions and organizational initiatives; managing relationships with outside counsel; and staying current on relevant laws, regulations, and industry developments.
You will work collaboratively with senior leaders, sales teams, product and technology teams, and other stakeholders to translate legal considerations into actionable business guidance. The role requires strong business acumen, excellent judgment in identifying and escalating significant legal risks, and the ability to manage multiple priorities in a fast-paced environment.

**Requirements:**
- Juris Doctor (JD) degree from an accredited law school and active membership in good standing with at least one U.S. state bar
- 6+ years of progressive legal experience, including experience in a law firm and/or corporate legal department
- Significant experience drafting, reviewing, and negotiating complex commercial agreements
- Strong understanding of commercial contracting, intellectual property, privacy, security, and other legal issues relevant to technology businesses
- Demonstrated ability to independently manage complex legal matters and provide practical, risk-based legal advice
- Strong business acumen with ability to understand business objectives and translate legal considerations into actionable guidance
- Collaborative approach and demonstrated ability to develop effective working relationships with senior leaders and cross-functional teams
- Strong written and oral communication, negotiation, analytical, and interpersonal skills
- Excellent judgment with ability to identify significant legal risks and appropriately escalate matters
- Ability to manage multiple priorities and complex matters in a fast-paced environment
- Experience supporting technology, software, SaaS, or similarly complex businesses preferred
