Fal is the generative media ecosystem powering the next generation of AI products, providing infrastructure, tools, and model access for teams to move from idea to production at scale. The company is rapidly expanding its compute footprint across data centers, colocation, GPU capacity, and hardware—signing some of the largest and most consequential contracts in the company's portfolio.
You will be Fal's first dedicated infrastructure lawyer, serving as the legal partner to compute, data center, and infrastructure teams. You will own and negotiate deals worth tens to hundreds of millions of dollars, bring work in-house that currently goes to outside counsel, and build the playbooks and templates that will scale across the organization.
Key responsibilities include:
- Own hardware purchase and supply agreements for GPUs, servers, racks, networking, and related equipment, including warranties, delivery, risk allocation, and vendor financing terms.
- Lead negotiations of GPU capacity agreements with neoclouds, hyperscalers, and traditional cloud providers, covering commitment structures, pricing, SLAs, credits, delivery timelines, and liability caps.
- Support GPU-side referral, reseller, and partnership agreements; partner with commercial counsel on sell-side compute terms.
- Work day-to-day with capacity planning, sourcing, site acquisition, and finance teams to ensure legal moves at the speed of the build-out.
- Bring outside counsel work in-house and manage external firms tightly on cost and turnaround.
- Build templates, negotiation playbooks, and fallback positions for infrastructure agreements; help shape deal approval and tracking processes.
You will own one of the most strategic legal areas at a fast-growing AI company, working directly with company leadership. Your work will shape where and how Fal builds its infrastructure.
REQUIREMENTS:
- 5+ years of commercial legal experience, with meaningful time in-house or at a firm serving infrastructure clients.
- Recent, hands-on experience negotiating compute infrastructure deals: GPU or cloud capacity, data center or colocation, and hardware procurement. Experience may come from a hyperscaler, neocloud, AI lab, semiconductor, or data center company.
- Fluency in key terms: capacity commitments, take-or-pay and minimum spend, SLAs and credits, power and real estate provisions, supply and delivery risk, and limitation of liability.
- Comfort running several high-value, time-sensitive negotiations simultaneously with minimal process.
- Sound business judgment; ability to frame risk clearly and help the business make informed decisions.
- Active bar membership in good standing (California preferred or ability to register as in-house counsel).
NICE TO HAVE:
- Real estate, energy, or power procurement experience.
- Exposure to export controls, trade compliance, or international supply chains.
- Experience building a function or playbooks from scratch at a high-growth company.
