Datadog is seeking a Senior Contracts Manager based in its New York City office to review, negotiate, and manage vendor agreements across the Americas. This role serves as a primary point of contact for Procurement and business leaders on supplier and service provider engagements, managing matters across the full contract lifecycle from intake through renewal or termination, with support for global and cross-regional transactions as needed.
Key responsibilities include reviewing and negotiating vendor agreements with emphasis on SaaS and technology-related transactions, including software, cloud services, AI tools, privacy, professional services, marketing, equipment, and facilities agreements. You will handle moderately complex agreements independently and support high-complexity matters alongside attorneys or management. You will partner with Product, Privacy, Security, and Procurement teams to assess risk, recommend practical positions, and advise stakeholders on gaps between proposed terms and business requirements.
Additional duties include interpreting existing agreements and advising on rights, obligations, renewals, amendments, and termination; supporting vendor dispute resolution; managing contract templates, negotiation playbooks, and related policies; building self-service resources and workflow improvements; tracking and reporting key metrics for process improvements; partnering with Legal Operations on contracting technology and AI-assisted contract review tools; and mentoring other contracts professionals while training business stakeholders on contracting processes and compliance.
You will be organized, detail-oriented, and capable of managing multiple matters simultaneously while reprioritizing quickly. You are a problem solver who identifies efficiency and scalability opportunities and leads their implementation. Strong written and verbal communication skills, with the ability to collaborate effectively across functions and move between big-picture strategy and hands-on drafting, are essential.
REQUIREMENTS:
- At least 8 years of experience negotiating and advising on a broad range of commercial agreements, OR 6 years with a master's degree in a relevant field
- Demonstrated experience negotiating SaaS, cloud, AI, privacy, security, and professional-services agreements, with working knowledge of data privacy and security issues in technology, benefits, marketing, and other vendor agreements
- Ability to manage moderately complex commercial matters independently, support high-complexity matters alongside attorneys or management, exercise sound judgment within established risk frameworks, and develop practical solutions to non-standard issues
- Strong organizational and process-driven approach with attention to detail
- Curious and adaptable mindset with aptitude for technology and legal operations tools
- Collaborative team player who shares knowledge openly
- Experience with real estate contracting and vendor dispute resolution is a plus
