Carta is a connected platform and AI-native ecosystem for private capital, trusted by 55,000 companies and 1.8M+ equity holders globally. You'll join Carta Law, the largest AI-native law firm for private capital, within the Contracts - APAC function.
In this role, you'll serve as a senior individual contributor and mentor, working directly with sophisticated investment fund and asset manager clients on the full lifecycle of commercial contracts. You'll independently negotiate and execute high volumes of pre-M&A contracts including NDAs, NRLs, joinders, and engagement letters, liaising directly with counterparties against agreed SLAs. You'll be the primary day-to-day contact for key clients, building trusted advisor relationships and maintaining client-specific contract playbooks to ensure consistency and quality across negotiations.
You'll mentor junior lawyers and paralegals, reviewing their work and contributing to a high-performing team culture. The role emphasizes using and continuously improving Carta's legal technology suite, including the proprietary AI-backed platform Ava, and identifying ways to innovate with AI-backed tools. You'll manage the full contract lifecycle for each matter, from first review through execution and system logging.
The team delivers high volumes of pre-M&A contract work at speed, supported by AI-backed tools. You'll work in a fast-paced environment where you balance legal risk against business objectives and flag issues before they escalate.
REQUIREMENTS:
- Law degree and licensed to practice in any APAC jurisdiction, UK, US, or Canada
- 5+ years post-qualification experience (PQE)
- Track record of independently negotiating pre-M&A contracts (NDAs, NRLs, joinders, engagement letters) in a financial services legal environment
- Ability to build lasting relationships with sophisticated investment fund and asset manager clients and communicate legal advice clearly
- Commercially minded approach; balance legal risk against business objectives
- Collaborative leadership skills; mentor junior lawyers and paralegals; take ownership in fast-paced environment
- Highly preferred: proficiency with AI-backed contract review tools and ability to identify improvements
- Highly preferred: ability to review and negotiate in Japanese, Korean, or Mandarin
