Salary: CAD 157,600 - 197,000 / annual

You will join the Carta Law team within the Contracts - North Americas function, working directly with sophisticated investment fund and asset manager clients. In this role, you will: - Negotiate and manage high volumes of pre-M&A contracts including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters, serving as the primary day-to-day contact for clients and adhering to agreed turnaround times - Build trusted advisor relationships with sophisticated investment funds and asset managers - Maintain and update client playbooks on an ongoing basis to ensure consistency and quality across all contract negotiations - Collaborate with and mentor junior lawyers and paralegals, reviewing their work and contributing to a high-performing team culture - Contribute to the continuous improvement of Carta's legal technology suite, identifying ways to innovate using AI-backed tools including Carta's proprietary platform, Ava You will work in a fast-paced environment delivering high volumes of pre-M&A contract work at speed, supported by AI-backed tools and working alongside fellow lawyers and paralegals. REQUIREMENTS: - 7-8+ years of post-law school corporate or transactional experience, with a track record of independently negotiating pre-M&A contracts (NDAs, NRLs, joinders, engagement letters) - Licensed to practice law in the Americas (US/Canada) - Experience working with asset managers, investment banks, or other financial services firms and understanding their expectations - Commercially minded and client-focused, with ability to communicate legal advice crisply and concisely - Tech-savvy and adaptable, comfortable working with and evolving a legal technology suite (e.g., AI tools, HighQ); interest in legal tech or AI is a strong plus - Self-starter who owns their work, thrives in fast-paced environments, prioritizes effectively, and looks for ways to improve and innovate
