Fonoa is a Tax Operating System company that uses AI to automate indirect tax compliance across 120+ countries. The company serves enterprise clients including Canva, Netflix, Spotify, Uber, Zoom, and Booking.com. You will join Fonoa's legal team as Commercial Counsel, reporting directly to the General Counsel. This role focuses on software licensing and commercial contracting, supporting the sales and channel/partner teams in a fast-paced, rapidly growing SaaS business. Key responsibilities: - Draft and negotiate a wide variety of commercial contracts, including SaaS/software licensing agreements with enterprise customers, reseller agreements with distribution partners, managed service provider (MSP) agreements, and distribution agreements - Provide risk assessment of contract terms and offer alternative approaches to mitigate risk, including alternative contractual language - Support vendor security/privacy questionnaires and vendor contract reviews - Build close cross-functional relationships with sales teams and maintain solid knowledge of Fonoa's product suite and business model - Support wider legal team initiatives in a rapidly growing tech organization - Advise customer-facing teams and business unit leaders on key legal risks, regulatory issues, and contractual obligations - Provide real-time advice balancing risk mitigation with business interests - Coordinate with outside counsel as needed The legal team works across customer contracting, vendor contracting, data privacy, investor relations, corporate law, and employment law, touching every corner of the business. You will be a keen negotiator who can guide the company through its next phase of growth, working alongside commercial teams whose customers are predominantly enterprise-level technology organizations. REQUIREMENTS: - 3+ years of post-qualification experience drafting and negotiating a wide range of technology commercial contracts, including SaaS/software licensing, reseller, MSP, and distribution agreements - Law degree and qualification in the EU, UK, or US - Strong drafting and negotiation skills, complemented by excellent business judgment and critical thinking - Exceptional communication skills, both written and verbal - Ability to collaborate effectively with legal and non-legal colleagues - Excellent problem-solving and organizational skills - Keen interest in learning about new and emerging technologies - Ability to explain complex legal concepts (liability, indemnity, warranties) clearly to non-legal audiences - Ability to prioritize effectively, multitask, and drive commercial deals to closure - Confidence in advocating for a position while remaining open to different perspectives - Comfort with data privacy and security issues, with experience drafting and negotiating related terms - Experience working within the enterprise SaaS industry
