The company operates multiple platforms including Funds (software and services for private funds), Nova (banking network), Meridian (wealth platform for accredited investors), and USVC (registered fund enabling broader venture investment). As Legal Counsel, you will own ordinary-course corporate legal work and help resolve legal questions across the Funds business. This is a hands-on role combining recurring corporate responsibilities with reactive matters requiring fresh fact assessment and clear risk positioning. Key responsibilities include: - Owning procurement and commercial contract reviews, including terms governing data rights, retention, and AI model training - Assessing fact-specific fund and investment matters such as fee disputes, carry transfers, distribution issues, side letters, and secondary-related questions - Researching and advising on Securities Act, Investment Company Act, Investment Advisers Act, and related regulatory questions applicable to AngelList's funds and products - Using AI-assisted research and drafting workflows, with responsibility for reviewing and verifying outputs - Identifying recurring patterns in corporate and reactive legal work and developing reusable guidance, templates, and AI-assisted workflows - Supporting bespoke fund structures and strategic customer arrangements, determining whether requested terms fit within AngelList's legal and operational framework - Collaborating with Product, Engineering, Fund Operations, Finance, Tax, Compliance, and Customer Success teams You will work from AngelList's San Francisco office at least two days per week (Tuesdays and either Wednesday or Thursday), with flexibility for hybrid arrangements. Requirements: - Corporate transactional capability and ability to take ownership of commercial contract reviews and ordinary-course corporate matters - AI-forward approach to legal work: comfort using AI tools, checking their output, and distinguishing automatable work from decisions requiring lawyer judgment - Comfort with ambiguity and reactive work; ability to take ownership when facts are incomplete, issues are time-sensitive, or no existing playbook exists; judgment about when to escalate - Practical, cross-functional approach; ability to collaborate with internal teams to balance legal risk and business realities - Fund and regulatory fluency (or demonstrated ability to develop it quickly); comfort with fund governing documents, investor arrangements, and securities/investment-management concepts - Appetite for hands-on execution; preference for handling recurring corporate work and steady flow of time-sensitive legal matters, not only novel transactions Note: The posting encourages applications even if you don't meet every requirement, valuing complementary strengths and operators who learn by doing.
