Salary: CAD 157,600 - 197,000 / annual

You'll join the Carta Law team within the Contracts - North Americas function, managing the full lifecycle of commercial contracts for sophisticated investment fund and asset manager clients.
In this role, you'll negotiate and manage high volumes of pre-M&A contracts including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters, serving as the primary day-to-day contact for clients and building trusted advisor relationships. You'll maintain and update client playbooks to ensure consistency and quality across negotiations, collaborate with and mentor junior lawyers and paralegals, and contribute to continuous improvement of Carta's legal technology suite, including AI-backed tools like Ava.
The team delivers high volumes of pre-M&A contract work at speed, supported by proprietary AI tools. You'll work directly with counterparties, adhere to agreed turnaround times, and help identify ways to innovate using emerging legal technology.
REQUIREMENTS:
- 7-8+ years of post-law school corporate or transactional experience
- Track record of independently negotiating pre-M&A contracts (NDAs, NRLs, joinders, engagement letters)
- Experience working with asset managers, investment banks, or other financial services firms
- Licensed to practice law in the Americas (US/Canada)
- Commercially minded and client-focused; ability to communicate legal advice crisply and concisely
- Tech-savvy and adaptable; comfortable working with legal technology suite (AI tools, HighQ); interest in legal tech or AI is a strong plus
- Self-starter who owns their work; thrives in fast-paced environment with strong prioritization and continuous improvement mindset
