Anduril Industries is a defense technology company transforming U.S. and allied military capabilities through advanced technology, AI, autonomy, and computer vision. The company seeks an International Legal Counsel to support its international government and commercial businesses, working on the full lifecycle of international contracts.
You will be a key member of Anduril's small, dynamic Legal Team, based in Mountain View, CA. This role directly supports Anduril's Global Defense work in the Asia-Pacific and Americas regions, partnering closely with International Trade Compliance, Business Development, and Program teams.
Key responsibilities include:
- Providing legal review and guidance on proposals, procurement, contracting strategies, and day-to-day program execution for international divisions
- Owning the review, redlining, and negotiation of international terms and conditions—master agreements, purchase order T&Cs, license, hardware, and services agreements—balancing speed with risk
- Managing relationships with procurement, contracting, and legal counterparts at foreign government ministries of defense and allied procurement agencies
- Overseeing and evaluating major proposals, monitoring large contracts, leading key negotiations, resolving performance issues, and ensuring compliance with laws and regulations
- Working on all legal aspects of international business, including license, hardware and services agreements, offset arrangements, intellectual property, data rights, and compliance matters
- Collaborating with International Trade Compliance to ensure deal structures align with ITAR, EAR, and sanctions requirements
- Developing software, hardware, and services contracting approaches for foreign government customers, negotiating agreements with foreign ministries, allied primes, and U.S. contracting officers on FMS-related matters
- Structuring and negotiating international commercial terms including governing law, arbitration (ICC, SIAC, HKIAC), sovereign immunity waivers, payment security, and Incoterms
- Partnering with Business Development and program teams to structure and negotiate offset and industrial cooperation obligations in markets that mandate them
The role requires travel on average 1 week per month, including international travel to APAC and Americas customer sites, and flexibility to support calls with international employees and customers outside standard business hours.
REQUIREMENTS:
- 3+ years of work on international commercial contracting and/or international government/defense contracts, defense trade, or U.S. government contracts matters, preferably with a law firm, defense industry, or government. Foreign defense sales experience is a strong preference; strong non-defense international commercial contracting and negotiation experience also considered. More senior lawyers encouraged to apply.
- Demonstrated ability to structure and negotiate cross-border commercial agreements—including governing law, dispute resolution/arbitration, payment security, and Incoterms—and familiarity with international defense contracting structures (DCS, and ideally FMS/hybrid vehicles), software acquisition approaches, and data rights
- Judgment and initiative to make risk-adjusted decisions and own multiple projects end-to-end
- Strong communication and interpersonal skills
- Quick learner able to contribute to broader start-up legal function across IP, litigation, financing, securities, compliance, and employment law
- Licensed to practice law in CA OR eligible to register as in-house counsel under California Rules of Court, Rule 9.46 (available to attorneys licensed and in good standing in another U.S. jurisdiction)
- U.S. citizenship and ability to obtain and maintain a U.S. security clearance
PREFERRED QUALIFICATIONS:
- Experience working with foreign government customers, particularly in Asia-Pacific (Taiwan, Japan, Korea, Australia, Philippines, Singapore) or Americas (Canada, Brazil, Colombia, Mexico)
- Familiarity with regional defense frameworks and sensitivities
- Regional language capability (Mandarin, Japanese, Korean, Spanish, or Portuguese)
- Experience with international teaming, agent/representative, or reseller structures, including FCPA-compliant onboarding and due diligence
- Direct experience with foreign defense sales (DCS and/or FMS)
- Pre-law school professional experience (military or government)
- Combination of law-firm and in-house or government experience
- Experience with engineering, software, or other technology
- Interest in law and policy of defense acquisitions
- Ability to operate independently within a rapidly evolving company
