Pasqal designs and develops quantum processing units (QPUs) and associated software tools. The company's innovative technology enables processing of use cases currently beyond the reach of the most powerful supercomputers, addressing both industrial applications and fundamental science needs. QPUs offer exceptional computational power with high energy efficiency, contributing to reducing the carbon footprint of intensive computing.
You will lead all corporate legal matters for Pasqal and its international subsidiaries, reporting to the General Counsel. You will be the Group's legal reference on corporate law, governance, entity management, and corporate operations. Working closely with Finance, Tax, Strategy, and senior leadership, you will ensure that Pasqal's legal structure and governance framework effectively support its international expansion.
The role combines strategic and operational dimensions, covering governance, M&A operations, international structuring, and shareholder/public company matters.
Key Responsibilities:
Governance & Entity Management: Pilot the legal management and governance of Pasqal's international corporate structure and subsidiaries. Ensure compliance with legal obligations and internal governance rules. Oversee corporate documentation, board and shareholder meeting matters, legal formalities, and record-keeping. Advise leadership and internal teams on corporate law and governance issues.
M&A & Strategic Operations: Lead the legal execution of acquisitions, disposals, investments, joint ventures, and other strategic transactions. Coordinate legal due diligence with internal teams and external counsel. Draft, review, and negotiate key transaction documents. Manage transactions from preparation through closing and post-closing implementation.
International Development & Structuring: Advise on establishing subsidiaries, branches, joint ventures, and other entities in new jurisdictions. Support Pasqal's international expansion and reorganization, merger, or restructuring projects. Collaborate with Finance, Tax teams, and local counsel to ensure appropriate corporate structures. Maintain consistency of governance practices internationally while respecting local requirements.
Public Company & Shareholder Relations: Support the General Counsel on matters related to Pasqal's public company status. Participate in governance, board, shareholder, capital markets, and investor matters. Support capital increases, securities issuances, share transfers, and other capital operations. Monitor developments in corporate and securities law and assess their impact on the Group.
Requirements:
- Minimum 10 years of experience in corporate law, ideally combining law firm and in-house experience
- CAPA qualification / registered with a Bar, with solid expertise in corporate law, governance, and corporate operations
- Significant in-house experience in an international environment, ideally within a high-growth or tech/deep-tech company
- Strong experience in M&A, legal structuring, entity management, and governance
- Ability to operate effectively in a VUCA environment with pragmatic, operational, solution-oriented approach
- Strong understanding of business issues and ability to translate complex legal matters into clear, actionable recommendations
- Excellent communication and stakeholder management skills; ability to interact with executives and cross-functional teams
- Fluent English; additional language skills a plus
