Pennylane is a high-growth French fintech (€400M raised, backed by Sequoia) building financial management software for European SMEs and accounting firms. The company has scaled from 7 founders to 1,200 employees across 25 countries and is now expanding internationally.
You will lead Pennylane's employee equity operations as Equity Legal Counsel, reporting into the Corporate Legal team. This is a key role at the intersection of Legal, Finance, and People, with primary responsibility for managing the company's employee shareholding schemes (BSPCE, BSA, stock options, and future mechanisms) and maintaining a reliable cap table.
Key responsibilities:
- End-to-end orchestration of ESOP allocations, coordinating internal and external stakeholders and supporting beneficiary employees
- Post-allocation management: exercises, liquidity events, secondary transactions, departures, international mobility, status changes, and any equity-impacting events (documentation, timeline planning, HR/Finance coordination, beneficiary communication)
- Daily cap table maintenance with high standards for accuracy, traceability, and data consistency
- Maintenance of corporate documentation and formalities related to capital operations: registers, share movements, legal documentation, governance
- Clear, responsive support to option-holding employees, translating complex legal concepts into operational decisions
- Quality support to HR teams (Ops, Talent Acquisition) on equity matters
- Continuous improvement: structuring, documenting, and optimizing equity processes (standardization, automation, AI-driven approaches)
- Active monitoring of regulatory developments in employee shareholding and capital operations across France and Europe
You will work with a European scope and daily cross-functional interactions. The role is based in Paris (near Saint Lazare) with flexible remote work culture.
Requirements:
- Minimum 2 years of corporate/company law experience (in-house or law firm) with significant equity exposure
- Solid foundation in corporate law and capital operations (governance, documentation, formalities, transaction coordination)
- Mastery of employee shareholding regulations and capital operation rules (BSPCE, BSA, stock options, and emerging mechanisms), plus associated formalities
- Exemplary rigor and strong organizational skills; cap table reliability and data quality are non-negotiable
- Pragmatic approach: ability to propose effective solutions, find appropriate risk levels, and advance matters with simplicity and agility
- Strong appetite for operational topics alongside legal work: genuine interest in tooling, automation, continuous improvement, and innovative/AI-driven solutions
- Ability to work across multiple teams (People, Finance, TA) with excellent interpersonal skills; capacity to explain complex legal concepts clearly to non-legal stakeholders
- Excellent written and verbal communication in both French and English (fluent English required)
- Appreciation for working in a constantly changing environment and prioritizing high-impact business actions
