Salary: USD 220,000 - 260,000 / annual
xAI is seeking a Corporate Counsel to support and lead the company's legal strategy across mergers, acquisitions, joint ventures, investments, partnerships, and other strategic transactions. You will work at the intersection of AI and law, collaborating closely with finance, tax, accounting, operations, and engineering teams.
Key responsibilities include:
- Leading and supporting M&A and strategic transactions from diligence through integration, including deal structuring, drafting, negotiating, and executing
- Partnering with corporate development, finance, and operations teams to execute efficient deal processes
- Driving post-closing integration efforts
- Building processes, templates, and playbooks for M&A and strategic transactions
- Advising on corporate governance, including subsidiary board matters and consents
- Overseeing subsidiary maintenance across US and international entities, including formations, dissolutions, and compliance
- Providing counsel on general corporate matters
- Demonstrating a can-do attitude and willingness to roll up sleeves in a fast-paced environment
The role is full-time, on-site five days per week, based in one of four locations: Palo Alto, CA; Washington, D.C.; Austin, TX; or New York, NY. You must be able to work extended hours and weekends as needed.

REQUIREMENTS:
- J.D. from an accredited law school
- 6+ years of experience in Corporate or M&A law at a top-tier law firm
- Expertise in complex corporate structures and transactions, including diligence, structuring, and negotiation
- Experience representing mature private and public companies
- Must be admitted to the bar in good standing in at least one U.S. State
- Flexible team player able to adapt to rapid developments and diverse projects in a fast-paced organization working with novel legal issues
- ITAR eligibility: Must be a U.S. citizen or national, U.S. lawful permanent resident, Refugee, or Asylee, or be eligible to obtain required authorizations from the U.S. Department of State
