Prosper Marketplace is seeking a Corporate Counsel with structured finance and secured lending expertise to join its legal team. This role is a key individual contributor position reporting to the Assistant General Counsel, focused on capital markets transactional work.
You will provide creative legal solutions for complex capital markets transactions, including credit facilities and securitizations. Core responsibilities include reviewing and negotiating transaction documents for loan sales and servicing agreements, advising on non-disclosure agreements and engagement letters, and managing multi-party agreements with leverage providers and account control arrangements. You will track and manage investor relationships on the platform, monitoring contract details, obligations, and requirements across investor agreements.
Additional responsibilities include coordinating and executing closings of large transactions, supporting Collections and Recoveries teams on debt sale transactions, managing contracts with bank partners including program agreements and amendments, and providing strategic and operational advice on capital markets matters. You will serve as the go-to legal resource for the Capital Markets team, handling transactional negotiations with increasing independence and advising all levels of the business on relevant legal issues.
This is a fast-paced, complex environment requiring collaboration across teams and stakeholders. You will balance legal risk with practical business objectives while managing multiple concurrent projects.
Roadmap: First 30 days focus on learning Prosper's business, products, and capital markets operations while building key relationships. By 60 days, develop substantive expertise in capital markets transactions and begin handling matters with increasing independence. By 90 days, operate as the go-to legal resource for capital markets transactions, manage workstreams independently, and advise on strategic matters.
Requirements:
- 4+ years of law firm and/or in-house experience with increasing responsibility
- Experience in capital markets and structured finance
- Experience leading transactional negotiations
- Strong interpersonal skills with ability to collaborate effectively across teams and stakeholders in fast-paced environment
- Strong judgment and ability to balance legal risk with practical business objectives
- Demonstrated ability to take ownership and resolve issues with minimal supervision
- Attention to detail with excellent organizational skills and strong work ethic
- Proven ability to manage multiple projects concurrently in evolving environment
- Effective and persuasive written and oral communication skills
- J.D. degree and active membership in good standing with a state bar
