Code Metal is seeking an experienced Contracts Manager to lead the administration of government contracts across the full contract lifecycle. The selected individual will serve as a trusted advisor to leadership, supporting proposal development, contract negotiations, administration, compliance, and closeout activities for a diverse portfolio of U.S. Government contracts, subcontracts, and teaming agreements. The successful candidate will work cross-functionally with Growth, Legal, Finance, Operations, and Engineering to ensure contractual obligations are understood, risks are appropriately managed, and customer relationships are supported throughout execution. Code Metal is the leader in automated software engineering focused on AI-driven code verification using formal methods. The company serves defense and aerospace customers including the U.S. Air Force, L3Harris, RTX, and Toshiba, helping them modernize legacy code, optimize performance, and move prototypes to production. Key responsibilities include: administering a portfolio of federal contracts, subcontracts, and business agreements throughout their entire lifecycle; reviewing, negotiating, and managing prime contracts, subcontracts, NDAs, teaming agreements, and consulting agreements; interpreting contractual terms and advising internal stakeholders on rights, obligations, risks, and compliance requirements; leading contract negotiations with government agencies, prime contractors, and commercial partners; coordinating contract modifications, funding actions, option exercises, and post-award activities; reviewing solicitations, RFPs, RFIs, OTAs, and SBIR/STTR opportunities to identify risks and compliance requirements; supporting proposal development through solicitation review and representations/certifications; maintaining contract files and documentation for audit readiness; monitoring contract performance and compliance; collaborating with execution teams to resolve contractual issues; monitoring changes to federal acquisition regulations and advising leadership on impacts; developing and improving internal contract management processes and templates; maintaining working knowledge of FAR, DFARS, and applicable regulations; supporting contract closeout activities; and providing contract guidance and training to internal stakeholders. REQUIREMENTS: - 7+ years of combined federal contracts experience, including at least 4 years serving as a Contracting Officer within the Department of Defense - Associate's degree in Business, Contracts Management, Finance, Law, or related field, or equivalent professional experience - Strong working knowledge of Federal Acquisition Regulation (FAR) and Defense Federal Acquisition Regulation Supplement (DFARS) - Demonstrated experience administering and negotiating contracts supporting innovative defense acquisition pathways, including Other Transaction Authority (OTA) agreements, SBIR/STTR awards, and non-traditional DoD vehicles - Experience supporting high-growth small businesses, including contract administration for organizations transitioning from R&D into production and commercialization through programs such as APFIT, STRATFI, TACFI, or similar defense innovation initiatives - Strong understanding of contractual, intellectual property, data rights, and commercialization considerations associated with small business and non-traditional defense contractors - Experience negotiating and managing prime contracts, subcontracts, teaming agreements, and NDAs - Strong understanding of contract funding, modifications, options, deliverables, and contract administration principles - Excellent written and verbal communication skills with ability to interact effectively with executive leadership, customers, and government representatives - Strong organizational skills with exceptional attention to detail and ability to manage multiple priorities simultaneously PREFERRED QUALIFICATIONS: - Experience winning, administering, and managing GWAC, Schedule, and IDIQ contract vehicles - Working knowledge of export control regulations, including ITAR and EAR - Experience supporting invoicing, funding tracking, contract value management, indirect rate considerations, and revenue recognition requirements - Working knowledge of Microsoft Office Suite and Google Workspace - Active DoD Secret or Top Secret security clearance
