Pogo is hiring its first in-house Commercial Counsel to build and lead the legal function as the company scales. This is a hands-on role combining commercial contracting expertise with broader legal responsibilities across the organization.
Key Responsibilities:
- Own commercial contracting end-to-end, including MSAs, Order Forms, DPAs, NDAs, vendor and partnership agreements
- Negotiate complex enterprise technology and SaaS agreements with sophisticated customers
- Partner closely with the GTM team to close deals while balancing legal risk, speed, and commercial reality
- Build templates, playbooks, workflows, and automations to support Pogo's scaling
- Provide legal counsel across privacy, product, data, employment, corporate, insurance, compliance, IP, and dispute matters
- Engage fractional and specialist outside counsel as needed, but own problem-solving internally
- Shape the foundation of Pogo's legal function and processes
This is not a "quarterback outside counsel" role. You will be expected to draft, redline, negotiate, advise the business, and build systems yourself. The role offers significant opportunity to expand scope and ownership as Pogo grows, with support from experienced fractional counsel and specialists when needed.
The company emphasizes using AI and automation to build a modern, lean legal function. You'll work in an environment with limited initial structure, requiring comfort with ambiguity and a bias toward building systems and processes.
Requirements:
- 4–8 years of legal experience, ideally combining law firm training with in-house experience at a high-growth technology company
- Strong focus on commercial contracting
- JD from an accredited law school
- Active license to practice law in the US
- Significant independent experience negotiating complex enterprise technology, SaaS, and data agreements
- Excellent legal and commercial judgment; ability to assess what matters and when to escalate
- Clear communication of complex legal issues with practical, actionable recommendations
- Comfort representing Pogo in customer negotiations and building trust with customer legal/procurement teams
- Ability to thrive with ownership and ambiguity
- Enthusiasm for AI and automation in legal operations
- Bonus: Experience with privacy/data/product counseling, legal ops and automation, or broader legal matters (employment, corporate, insurance, compliance, IP)
