Salary: USD 128,300 - 166,900 / annual

Greenhouse is seeking a Commercial Counsel to serve as a key legal partner to the Sales organization, managing day-to-day commercial contract negotiations for a high volume of SaaS customer deals. You will own contracts from first draft through signature, balancing speed with sound risk management while reducing deal cycle times and building scalable legal support as the business grows. Key responsibilities include: - Draft and negotiate customer-facing SaaS agreements (MSAs, order forms, DPAs, SLAs, and related documents), escalating complex or non-standard terms to senior counsel as needed - Support commercial negotiations end-to-end, structuring deals that balance customer needs with Greenhouse's risk, operational, and compliance requirements - Partner with Sales and Deal Desk as a primary Legal contact for mid-market and enterprise transactions, answering questions and unblocking deals - Manage data privacy and security aspects of deals through DPA negotiations and collaboration with Security/IT on customer security questionnaires - Build and improve scalable contracting processes, workflows, templates, and playbooks (including AI-powered tools) to reduce friction in the sales cycle - Enable the Sales organization by developing training materials, self-service resources, and guidance on common contract terms - Advise internal stakeholders on contractual risk, liability, and compliance issues in a practical, business-oriented manner - Handle additional projects and responsibilities as business needs require The ideal candidate is a deal-maker who enjoys finding paths to signature while maintaining sound legal judgment; a contract detective who can spot important details and turn legal language into clear guidance; a business partner who builds strong relationships with Sales and cross-functional teams; and a workflow wizard who loves making processes smoother using smart tools. Requirements: - JD from an accredited law school and active bar membership in at least one U.S. jurisdiction - 3-5 years of legal experience, with at least 2 years focused on commercial/transactional work (in-house SaaS experience preferred) - Working knowledge of B2B SaaS agreements, including MSAs, SaaS terms, AI addendums, SLAs, and data processing agreements - Demonstrated ability to manage a high volume of concurrent contract negotiations and prioritize effectively under time pressure with strong attention to detail - Experience using, or willingness to adopt, AI-powered contract review and workflow tools, with comfort navigating AI in customer contracts - Working knowledge of GDPR, CCPA, and related privacy frameworks as they relate to commercial contracting - Track record as a strong relationship builder with sales leaders and business partners, with judgment to know when to push back, compromise, or escalate - Excellent written and verbal communication skills, with ability to explain legal concepts in clear, plain language - Familiarity with HR tech, recruiting, or workforce software (a plus) - Experience with AI/ML contract terms and emerging AI regulations (a plus) Applicants must be currently authorized to work in the United States on a full-time basis.
