DensityAI is seeking a Commercial Contracts Manager to own the contracting engine across the organization. Reporting into the legal team, you will manage the full contract lifecycle—intake, drafting, redlining, approval, execution, and post-signature obligation tracking—for vendor, services, and supply-chain agreements. You will handle high-volume contracting independently, allowing counsel to focus on complex technology and foundry transactions.
Key responsibilities include:
- Manage the complete contract lifecycle end-to-end, from intake through obligation tracking
- Draft and negotiate high-volume agreements from templates: NDAs, vendor and services agreements, SOWs, purchase terms, and amendments
- Support counsel on semiconductor supply-chain agreements, including foundry, OSAT, and contract manufacturing (MSAs, MPAs, capacity and pricing, NRE/tooling)
- Build and maintain the contract repository, template set, clause library, and negotiation playbooks
- Implement and administer CLM tooling; define intake and approval workflows with legal, finance, and supply chain
- Track obligations, renewals, expirations, and deliverables; surface risk and escalate to counsel
- Partner with supply chain, finance, engineering, and GTM teams to unblock deals and maintain cycle times
- Leverage AI-assisted tool flows to accelerate drafting, review, and contract reporting
Requirements:
- 5+ years managing commercial contracts in-house, at a law firm, or in a contracts/procurement function
- Hands-on drafting and redlining experience with NDAs, MSAs, SOWs, and vendor/services agreements
- Demonstrated ownership of contract lifecycle end-to-end, including post-signature obligation management
- Working knowledge of CLM platforms (Ironclad, Agiloft, DocuSign CLM, LinkSquares, or equivalent) and e-signature workflows
- Strong organizational discipline to manage high-volume queues without dropping obligations
- Ability to operate independently in a fast-moving startup environment and build processes from scratch
- Optional: semiconductor, hardware, or supply-chain contracting experience; foundry, OSAT, or contract-manufacturing agreement expertise; export-control awareness (EAR/ITAR); data privacy and DPA knowledge; paralegal certification or JD; experience supporting early-stage legal teams
