Cutover is an AI-powered SaaS platform that automates and streamlines complex enterprise technology operations through intelligent runbooks. The company serves major financial institutions, including 5 of the top 6 asset managers and 3 of the top 5 US banks, helping teams respond to incidents, recover from IT outages, and manage cloud migrations.
As Legal Counsel, you'll be one of three people in a close-knit legal team, reporting to the General Counsel. This is a genuinely varied role with significant autonomy and influence across the business.
Key responsibilities include:
- Drafting and negotiating customer-facing contracts (MSAs, order forms, DPAs, SLAs) with sophisticated counterparties, balancing commercial goals with risk mitigation
- Managing the full contract lifecycle for supplier and procurement agreements, from NDAs through vendor agreements
- Advising cross-functional stakeholders (Sales, Finance, People, Engineering, InfoSec, Product) on day-to-day legal matters with clear, commercially-minded guidance
- Supporting data protection, AI, and IP matters, including UK GDPR compliance and safeguarding proprietary technology
- Maintaining and improving contract templates, playbooks, and legal processes to enable scaling
- Managing legal risk and knowing when to escalate to external advisers
- Supervising and developing the Junior Legal Counsel, sharing knowledge and supporting their growth
- Overseeing group insurance policies and supporting the ESG programme
You'll need to be a qualified solicitor in England and Wales with 2–4 years' PQE, ideally with in-house experience. Strong commercial contracts experience in SaaS or technology is essential, with confident handling of order forms, MSAs, DPAs, SLAs, and supplier contracts. Experience in data protection, AI, and IP is important, with appetite to keep pace with a fast-moving regulatory landscape. Exposure to regulated businesses (outsourcing rules, DORA, EU AI Act) and US-footprint businesses is preferred. You should be comfortable working autonomously, managing high volumes of varied work, and mentoring junior team members. Strong technical legal ability combined with pragmatism, clear communication, and collaborative problem-solving are key.
